Relevant Rating definition

Relevant Rating means, with respect to any Equivalent Rating Agency and any Person as of any date of determination, (a) with respect to Xxxxx’x, the Relevant Xxxxx’x Rating with respect to such Person as of such date, (b) with respect to Fitch, the Relevant Fitch Rating with respect to such Person as of such date and (c) with respect to S&P, the Relevant S&P Rating with respect to such Person as of such date.
Relevant Rating means, with respect to any Equivalent Rating Agency and any Person as of any date of determination, (a) with respect to Moody’s, the Relevant Moody’s Rating with respect to such Person as of such date, (b) with respect to Fitch, the Relevant Fitch Rating with respect to such Person as of such date and (c) with respect to S&P, the Relevant S&P Rating with respect to such Person as of such date.
Relevant Rating means the Senior Debt Ratings of the Significant Subsidiary (other than SERI) having the second lowest Senior Debt Ratings from Moody's and S&P of all Significant Subsidiaries (other than SERI).

Examples of Relevant Rating in a sentence

  • The Trustee shall be entitled to assume, for the purpose of exercising any power, trust, duty or discretion under or in relation to this Condition 12.2, that any exercise of such power, trust, duty or discretion will not be materially prejudicial to the interests of the relevant Noteholders if the Relevant Rating Agency has confirmed in writing that its current rating(s) of the relevant Notes then in force will not be adversely affected by such exercise.

  • A written confirmation from a Relevant Rating Agency (a “Rating Agency Confirmation”) that any action proposed to be taken by the Issuer or any Series Party will not have an adverse effect on the then current rating of any rated Instruments does not, for example, confirm that such action (i) is permitted by the terms of the Instruments or (ii) is in the best interests of, or not prejudicial to, the Instrumentholders.

  • Potential investors should note that where a Series of Instruments is to be rated, such rating will not necessarily be the same as any rating assigned to any Instruments already issued, and that a rating is not a recommendation to buy, sell or hold instruments and may be subject to suspension, reduction or withdrawal at any time by the Relevant Rating Agency.

  • It should be noted that, depending on the timing of delivery of the request and any information needed to be provided as part of any such request, it may be the case that a Relevant Rating Agency cannot provide a written Rating Agency Confirmation in the time available or at all, and the Relevant Rating Agency should not be responsible for the consequences thereof.

  • Further, if at the time of the occurrence of the relevant Change of Control the Issuer’s Senior Unsecured Obligations are not assigned an Investment Grade Rating by any Relevant Rating Agency, a Change of Control Event will be deemed to occur upon the occurrence of a Change of Control alone.

  • Any such written Rating Agency Confirmation may or may not be given at the sole discretion of each Relevant Rating Agency.

  • A credit rating is not a recommendation to buy, sell or hold securities and may be subject to revision, suspension or withdrawal at any time as a result of changes in or unavailability of information or if, in the judgement of the Relevant Rating Agencies, circumstances so warrant.

  • While such percentage might differ for different Series depending upon their applicable ratings and Relevant Rating Agencies and other factors, the Issuer will (at any applicable time) be required to satisfy the highest Required Overcollateralisation Percentage then applicable among all the outstanding Series.

  • Party A shall fail to maintain capital in the amount consistent with its financial program as represented to the Relevant Rating Agencies.

  • The Swap Counterparty shall give notice in writing in, or substantially in, the form set out in the Agency Agreement to the Issuer, the Trustee, each Relevant Rating Agency, the Agent (in the case of Bearer Notes), the Registrar (in the case of Registered Notes), the Custodian, the Sub-Custodian and, in accordance with Condition 16, the Noteholders no later than the date on which such substitution takes place.


More Definitions of Relevant Rating

Relevant Rating means, as of any date of determination, the ratings as determined by S&P and Xxxxx’x of WMI’s non-credit enhanced, senior unsecured long-term debt and in circumstances when the ratings are not the same level (in the grid set forth in Section 2.5(1)), then the higher of the two ratings shall apply, provided however that if the higher rating is more than one level higher than the lower rating, the Relevant Rating shall be set at one level below the higher rating.
Relevant Rating means, with respect to any Borrower, the rating of S&P or Moody’s of the senior unsecured long-term debt securities of such Borrower without third-party credit enhancement (and any rating assigned to any other debt security of such Borrower shall be disregarded).
