Released Shares definition

Released Shares means those of the Restricted Securities which are released from stock restrictions in accordance with the following automatic timed release schedule: Vesting Date Proportion of Vested Shares 12 months after the Listing Date 100% of the Restricted Securities The Shareholder acknowledges that the Released Shares will be subject to a 12 month hold period beginning on the Listing Date.

Released Shares has the meaning set forth in Section 5.10(b).

Examples of Released Shares in a sentence

• The Participant shall have no right to sell, assign, transfer, pledge or otherwise encumber the Shares in any manner until the Shares have become Released Shares.

• The Company may exercise its Clawback Right more than once, provided that the Recoverable Monies as determined by the Committee for the purposes of such subsequent exercise shall not include any amount which has been paid or which is payable to the Company pursuant to the Company’s previous exercise(s) of its Clawback Right in respect of the Released Shares which are the subject of such subsequent exercise.

• If SAW does not elect to purchase hereunder, the EW Released Shares will thereafter be held by EW free and clear of any further restrictions on sale under this Agreement.

More Definitions of Released Shares

Released Shares shall have the meaning ascribed to such term in Section 5.2.
