The Subscription Receipt Agent shall deliver the Escrowed Funds referred to in this Section 3.2 to the Corporation as directed by the Corporation as soon as practicable following receipt of the Escrow Release Notice.
If the Corporation has delivered the Escrow Release Notice in accordance with Section 3.1 to the Subscription Receipt Agent at or before the Escrow Release Deadline the Corporation shall be entitled to receive from the Subscription Receipt Agent an amount equal to the Escrowed Funds.
Pursuant to the Subscription Receipt Agreement, the “Release Date” is the date, or the Business Day following such date, on which the Subscription Receipt Agent receives the Escrow Release Notice in the form required under the Subscription Receipt Agreement, which notice will inform the Subscription Receipt Agent of the satisfaction or waiver of the Escrow Release Conditions and will instruct the Subscription Receipt Agent to pay the Escrowed Funds in accordance with the Subscription Receipt Agreement.
The delivery of a Release Notice with respect to any Borrower shall not terminate any obligation of any other Borrower.
The Corporation may determine the precise timing of the delivery of the Escrow Release Notice following the satisfaction of the Escrow Release Conditions.
