Release Notice definition
Release Notice has the meaning specified in Section 11.19(b).
Release Notice means a written notice in the form set out in Schedule B attached hereto executed by the Company;
Release Notice means an irrevocable authorization to release proceeds in the form of a Subsequent Draw, submitted by Agent to Escrow Agent in substantially the form of Exhibit E.
Examples of Release Notice in a sentence
The Company shall cause the delivery of each Lockbox Account Release Amount, in U.S. dollars and immediately available funds, in accordance with the wire instructions of the Holder delivered to the Company in such applicable Lockbox Account Release Notice, by no later than the second (2nd) Business Day after any given Lockbox Account Release Notice Date (each, a “Lockbox Account Release Deadline”).
Each dollar of the Cash Collateralization Amount released to the Holder shall reduce the Conversion Amount of the Holder Notes then outstanding on a dollar-for-dollar basis as described in the Lockbox Account Release Notice.
