Release Events definition

Release Events. Has the meaning ascribed in Section 6.11 hereof.
Release Events means events which will trigger the release of the deposited Source Code to a duly authorised officer of the Customer;

With respect to any Collection Period, all residual proceeds received by the Servicer, proceeds of the sale of the Equipment received by the Servicer in the event the related User does not purchase the Equipment at the end of the related Contract, any amounts collected by the Servicer as judgments against a User or others related to the failure of such User to pay any required amounts under the related Contract or to return the Equipment, including any amounts relating to a Security Deposit applied by the Servicer as Residual Receipts, plus any other amounts which are received by the Servicer and applied against the Booked Residual Value of such Contract in accordance with the Servicer's servicing standards during such Collection Period, in each case as reduced by any reasonably incurred out-of-pocket expenses incurred by the Servicer in enforcing such Contract or in liquidating such Equipment.

  • Upon such transfers, the Sponsor releases all right, title and interest in and to the Bonds (such release by the Sponsor in connection with its transfer of ownership of the Bonds in no way limits its rights to direct the funding of Release Events in certain cases or take other actions with respect to the Bonds as described in the Sponsor Documents).

More Definitions of Release Events

Release Events. (a) VNI becomes insolvent, files for bankruptcy or is subjected to involuntary bankruptcy proceedings that are not dismissed within 60 days, or makes a general assignment for the benefit of its creditors; (b) Vert ceases to offer any Maintenance and Support Services for a Deployed Product other than as a result of the expiration or termination of the Maintenance and Support Agreement in accordance with its terms; (c) a Vert Non-Renewal Election occurs and Vert fails to deliver to Converge the Source Code for all Deployed Products within the time period specified in Section 2.4.3 above; or (d) a Converge Non-Renewal Election occurs and Vert fails to deliver to Converge the Source Code for all Initial Deployed Products within the time period specified in Section 2.4.3 above. Notwithstanding anything to the contrary herein, (i) if the claimed Release Event is under clause (b) above, only the Escrow Materials for the Product that is the subject of the Release Event, together with all associated Maintenance Updates and Enhancements, shall be subject to release to Converge hereunder; (ii) if the claimed Release Event is under clause (c) above, only the Escrow Materials for the Deployed Products, together with all associated Maintenance Updates and Enhancements, shall be subject to release to Converge hereunder; and (iii) if the claimed Release Event is under clause (d) above, only the Escrow Materials for the Initial Deployed Products, together with all associated Maintenance Updates and Enhancements, shall be subject to release to Converge hereunder.

Responsible Officer. When used with respect to the Trustee, any officer assigned to the corporate trust division (or any successor thereto), including any Vice President, Second Vice President, Assistant Vice President, Senior Trust Officer, Trust Officer, Authorized Signer, Assistant Trust Officer, any Assistant Secretary, any trust officer or any other officer of the Trustee customarily performing functions similar to those performed by any of the above designated officers and having direct responsibility for the administration of this Agreement, and also, with respect to a particular matter, any other officer to whom such matter is referred because of such officer's knowledge of and familiarity with the particular subject.
Release Events occurs: (a) in the event or termination of the agreement or Escrow Agreement for uncured breach; (b) NPSC, for whatever reason, discontinues or ceases providing support for the Products for which IBM provides written notice to that effect and NPSC fails to cure such delinquency within 90 days of the receipt of such notice; (c) NPSC files for, or has been declared, insolvent. In the event a Release Event occurs and IBM obtains access to the Code; IBM will use the Code to support the rights and licenses granted under the Escrow Agreement and the Agreement, and will treat the Code in accordance with the IBM Confidentiality Agreement between NPSC and IBM. 4. Code Verification Unless IBM and Custodian agree in writing, the Custodian is not responsible for technical verification that the Code is current, accurate and complete. IBM may, at its expense, hire a third party qualifier to do the verification. NPSC will reimburse IBM's expense if the Code does not comply with the requirements of this Escrow Agreement. Verification includes generating Object Code from Source Code for each Product. The verifier will witness the transfer of the verified Source Code to deposited media. NPSC will supervise the verification which will be conducted at NPSC's facility unless IBM advises otherwise. One technical IBM employee may witness verification. To the extent possible, verification will be done in a way that does not expose the Source Code to the IBM employee. If this is not possible, the IBM employee will treat the Source Code according to the IBM Confidentiality Agreement between NPSC and IBM. 5. Access to Code If any of the Release Events occurs, IBM may demand delivery of the Code by providing the Custodian with written notice, copying NPSC. The Custodian will deliver the Code according to the notice. The Custodian will not independently verify that any of the Release Events has occurred or refuse to deliver the Code. If IBM determines that it does not have a complete set of the Code, IBM may request them from NPSC. NPSC agrees to provide the materials required within three business days of IBM's request. 6.
Release Events means the events set out in clause 6.1.
