Examples of Related Properties in a sentence
Purchaser and Seller recognize and agree that the sale of the Property and Closing hereunder are expressly conditioned upon the concurrent closings on the Related Properties by the applicable Related Sellers and Purchaser or an entity or entities to be designated by Purchaser for the purpose of acquiring the Related Properties (each, a “Related Purchaser”).
Seller has not removed, or caused to be removed, any underground storage tanks from the Property (although one overground storage tank was removed by Seller at the time of development of the Property and/or the Related Properties) and, to the best of Seller’s knowledge, no underground storage tanks were removed from the Property before Seller acquired title to the Property.
Lender shall notify Borrower in the event the Loan is intended to be included in a Securitization in which Borrower alone or Borrower and one or more Affiliates of Borrower collectively, or the Property alone or the Property and Related Properties collectively, will be a Significant Obligor and, in such event, Lender shall credit Borrower $20,000.00 for expenses incurred by Borrower in connection with its compliance with Regulation AB prior to the cut-off date for such Securitization.
There shall have not occurred between the date hereof and the Closing Date any material adverse change in the assets, business, financial condition or results of operation of the Related Properties or Contributed Entities, taken as a whole, or any material adverse change in the assets, business, financial condition or results of operation of the Properties or the Existing Entities, taken as a whole.
For a period of up to six (6) months following the Closing, Sellers shall make their books and records available to Purchaser to allow Purchaser to prepare audited financial statements for the Related Properties.
