Related Client definition

Related Client means a Client account, including a proprietary account consisting of seed capital during the incubation period, for which an Advisory Person or the portfolio management team of which the Advisory Person is a member, has or is deemed to have, investment decision-making authority or is responsible for maintaining and/or reviewing information pertaining to the account.
Related Client means any Advisory Client or investor in any TB Fund that is (i) any member of the Company Group, any Seller or any Seller Owner, (ii) a director, officer, shareholder, owner or employee of any member of the Company Group or a member of the immediate family of any such director, officer, shareholder, owner or employee, or (iii) a trust or collective investment vehicle in which any member of the Company Group is a holder of a beneficial interest.
Related Client means (a) any Acquired Company and (b) any employee of any Acquired Company and any of their Family Related Parties; provided that Revenue Run Rate of a Related Client shall not include amounts invested by any Acquired Company as of the Base Date in Sculptor Alternative Solutions, LLC or any CLO.

More Definitions of Related Client

Related Client means any Client (or, if applicable, an investor therein) that is (a) any Acquired Company, (b) any Representative of any Acquired Company, (c) any Affiliate of any Person described in the foregoing clause (b), (d) a Representative or Immediate Family member of any of the foregoing under clauses (b) and (c) (or any Affiliate of any of them) and (e) any trust in which any of the foregoing under clauses (a)-(d) is a holder of a beneficial interest.
Related Client means any Advisory Client or investor in any Private Fund that is (i) a Group Company, (ii) a director, officer, shareholder, owner or employee of any Group Company or a member of the immediate family of any such director, officer, shareholder, owner or employee, or (iii) a trust or collective investment vehicle in which any Group Company is a holder of a beneficial interest.
Related Client has the meaning set forth in Section 3.1(z)(ii)(a).
Related Client has the meaning specified in Section 5.9(a)(i).
Related Client. - means a company which is in the same group as the Client (being a holding company or subsidiary company of the Client as defined in section 1159 of the Companies Act 2006 and any other company which is itself a subsidiary company of such a holding company, or a company which has a director who is also a director of the Client;
Related Client means any Client that is (a) a director, officer, shareholder, owner or employee of a SGA Company or any Affiliate thereof, (b) an immediate family member of any such director, officer, shareholder, owner or employee or (c) an Affiliate of a SGA Company or of any such director, officer, shareholder, owner, employee or immediate family member.
Related Client means a fee-paying Client that is (i) Buyer, any Seller Entity or any of their respective Controlled Affiliates, (ii) any Member or any director, officer, member, employee or Immediate Family Member of any of the Persons identified in clause (i) or (ii), or (iii) a trust or other similar personal or estate planning vehicle in which any of the any of the Persons identified in clause (i) or (ii) is a holder of a beneficial interest.
