On the Reinstatement Date, to the extent any Indebtedness Incurred during the Suspension Period would not be so permitted to be Incurred pursuant to the first or second paragraph of Section 4.08, such Indebtedness will be deemed to have been outstanding on the Issue Date, so that it is classified under clause (ii) of the second paragraph of Section 4.08.
The Company shall give the Trustee written notice of any occurrence of a Reinstatement Date not later than ten (10) Business Days after such Reinstatement Date.
After any such notice of the occurrence of a Reinstatement Date, the Trustee shall assume the Suspended Covenants apply and are in full force and effect.
The period of time between the date of suspension of the covenants and the Reinstatement Date is referred to as the “Suspension Period.” In no event shall the Trustee be responsible for monitoring, or charged with knowledge of, the investment rating of the Notes.
