Regulatory Clearances definition

Regulatory Clearances means all consents, clearances, approvals, permissions, license, variance, exemption, authorization, acknowledgement, permits, nonactions, Orders and waivers required to be obtained from, and all registrations, applications, notices and filings required to be made with or provided to, any Governmental Entity or other third party, other than under or in connection with Antitrust Laws, in connection with the implementation of the Scheme, and/or the Acquisition in connection with the implementation of the Scheme, and/or the Acquisition.
Regulatory Clearances means (i) the Competition Act Clearance and (ii) the expiration or termination of all waiting periods (and any extensions thereof) applicable to the Transactions under the HSR Act;
Regulatory Clearances means all consents, clearances, approvals, permissions, licenses, variances, exemptions, authorizations, acknowledgements, permits, nonactions, Orders and waivers required to be obtained from, and all registrations, applications, notices and filings required to be made with or provided to, any Governmental Entity or other third party, other than under or in connection with Antitrust Laws, the DPA or the implementation of the Acquisition.

  • In addition, to the extent required by applicable Laws, including regulations promulgated by applicable security exchanges, each Party shall have the right to make a press release announcing the achievement of each milestone under this Agreement as it is achieved, and the achievements of Regulatory Clearances and/or Approvals in the Territory as they occur, subject to the other Party’s consent as to form and substance of such announcement, which shall not be unreasonably withheld, conditioned or delayed.

  • Notwithstanding anything to the contrary in this Agreement (and without limiting CCT’s obligation under the License Agreement to obtain, support and maintain Regulatory Clearances and/or Approvals), CCT will have final authority for regulatory decisions and responsibility for all communications with any Regulatory Authority with respect to obtaining or maintaining Regulatory Approval of the Manufactured Products.

  • CCT shall file and own all right, title and interest in all Regulatory Materials designed to obtain or support such Regulatory Clearances and/or Approvals.


More Definitions of Regulatory Clearances

Regulatory Clearances means, collectively, the Competition Act Clearance and the HSR Act Clearance;
Regulatory Clearances means those sanctions, rulings, consents, orders, exemptions, permits and other approvals (including the lapse, without objection, of a prescribed time under a statute or regulation that states that a transaction may be implemented if a prescribed time lapses following the giving of notice without an objection being made) of Governmental Entities necessary to implement the Arrangement and includes the (i) ICA Approval; (ii) CGP Approval; (iii) SADI Approval and (iv) PRC Approvals;
Regulatory Clearances means receipt by Buyer or Buyer’s Operator of either: (i) a license issued by the Agency to operate the Facility of the type and kind which is substantially consistent with the operations of the Facility as of the Effective Date, or (ii) reasonable assurances by the Agency that the Agency will issue a license authorizing Buyer or to Buyer’s Operator to operate the Facility in a manner substantially consistent with the manner that the Facility was previously operated, and permission to commence such operation.
Regulatory Clearances means any and all authorisations, approvals, consents, permits and clearances required for the lawful and valid consummation of the Transaction from the relevant merger control Governmental Authorities (or expiration of statutory time periods after which an approval, consent, permit or clearance by such relevant Governmental Authority is deemed to have been granted) in the jurisdictions set out in Part 1 of Schedule 3.1.2;
Regulatory Clearances means the expiration or termination of the waiting period under the HSR Act and the authorizations, consents, clearances and approvals pursuant to the other Regulatory Laws listed on Section 7.1(b) of the Company Disclosure Schedule.
Regulatory Clearances means all approvals, consents, clearances, permissions, confirmations, letters of non- objection, comfort letters and waivers, rule modifications or variations of permissions that may need to be obtained, all filings that may need to be made and all waiting periods that may need to have expired, from or under any Laws or practices applied by any Regulatory Authority (or under any agreements or arrangements to which any Regulatory Authority is a party), in each case that are necessary and/or expedient to satisfy one or more of the Regulatory Conditions, the Merger Control Conditions, the Intact Equity Placing Condition or the Tryg Rights Issue Conditions;
Regulatory Clearances has the meaning ascribed to it in Section 7.1(a).
