Registration Expense definition

Registration Expense has the meaning given therefor in SECTION 4.6.
Registration Expense shall have the meaning set forth in Section 7.1.
Registration Expense means any and all expenses incident to performance of or compliance with this Agreement by the Company, including, without limitation:

Examples of Registration Expense in a sentence

  • The Registration Expense shall be for the account of the Company.

  • The Company shall pay all Registration Expenses in connection with the registration pursuant to Section 2.1 or 2.2. Each Holder shall pay all expenses of its counsel (other than to the extent a Registration Expense), underwriting discounts and commissions and transfer taxes, if any, relating to the sale or disposition of such Holder’s Registrable Securities pursuant to the Shelf Registration Statement.

  • Each Holder participating in a registration pursuant to this Section 2.4 shall bear such Holder’s proportionate share of the Registration Expense (allocated pro rata based on the Registrable Securities included in such Registration).

  • Notwithstanding the foregoing, any additional Registration Expense in excess of $50,000 shall be the obligation of and be paid by the Company.

  • Notwithstanding the foregoing, upon the execution and delivery of the Agreement, the Initial Purchaser shall pay to the Company a nonrefundable amount equal to $150,000, by wire transfer of immediately available funds to a bank account designated by the Company, to reimburse the Company for the Registration Expense.

Registration Expense means, with respect to any demand registration (as set forth in Section 2.1) or piggyback registration (as set forth in Section 2.2) all (i) registration, qualification and filing fees, (ii) fees and expenses of compliance with securities or blue sky laws (including the reasonable fees and disbursements of counsel for any underwriters, dealers or placement agents in connection therewith), (iii) printing expenses (or comparable duplication expenses) and escrow fees, (iv) internal expenses of the Company (including all salaries and expenses of officers and employees performing legal or accounting duties), (v) fees and disbursements of counsel for the Company, (vi) fees and expenses for independent certified public accountants retained by the Company (including all fees and expenses associated with special audits or the delivery by independent certified public accountants of a "cold comfort" letter or letters), (vii) fees and expenses of any special experts retained by the Company in connection with such registration, (viii) fees and expenses of listing the Registrable Securities on a securities exchange, (ix) the reasonable fees and expenses of a single firm of legal counsel for the Holders participating in such demand registration or piggyback registration and, (x) all other reasonable fees, costs, expenses and disbursements incurred in connection with or incident to the Company's compliance with Section 2.
