Except as would not be material, each item of Company Registered IP is in compliance with all legal requirements, and each Group Company has made all filings and payments and taken all other actions required to be made or taken to maintain each item of Company Registered IP in full force and effect by the applicable deadline and otherwise in accordance with all applicable Laws.
The Company and its Subsidiaries own or possess all right, title and interest in and to the Owned IP, including each item of Registered IP, free and clear of any Security Interests other than Permitted Encumbrances.
