Refund Guarantees definition

Refund Guarantees means any or all of them;

Refund Guarantees means any and all refund guarantees from time to time issued in favour of the Borrower to secure certain obligations of the Shipbuilder under the Construction Contract other than any refund guarantees issued by KfW IPEX-Bank GmbH acting in its capacity as a refund guarantor.

Refund Guarantees means the guarantees to secure the Builder’s obligation to refund the Buyer’s pre-delivery Instalments as referred to in Clause 14(b) (Builder's Refund Guarantees).

Examples of Refund Guarantees in a sentence

• On or prior to each Borrowing Date, all necessary governmental (domestic and foreign) and material third party approvals and/or consents in connection with the Construction Contract, the Refund Guarantees (to the extent issued on or prior to such Borrowing Date), the Vessel and the other transactions contemplated hereby (except to the extent specifically addressed in other sections of Section 5 or this Section 6) shall have been obtained and remain in effect.

• First-priority legal assignment of contracts dated on or about the date hereof in respect of the Construction Contract, certain of the Refund Guarantees and the Construction Risks Insurance (each as defined in the ECF Credit Agreement) in favour of the Collateral Agent as security trustee on behalf of the ECF Creditors (the “Vessel 2 Assignment of Contracts”).

More Definitions of Refund Guarantees

Refund Guarantees means each of (i) the letter of guarantee No. 1CMPG119937, dated December 12, 2014 by the Refund Guarantor in favor of Falcon Global in connection with Vessel 1, and (ii) the letter of guarantee No. 1CMPG119936, dated December 10, 2014 by the Refund Guarantor in favor of Falcon Global in connection with Vessel 2;

Refund Guarantees means each refund guarantee provided pursuant to a Shipbuilding Contract that is listed in Schedule 19, and each other refund guarantee provided by a Refund Guarantor in respect of a Vessel (and in replacement of any refund guarantee listed in Schedule 19) in accordance with the Shipbuilding Contract for such Vessel and that is in a form satisfactory to the Intercreditor Agent.

Refund Guarantees means any refund, performance or completion guarantees or performance bonds associated with any Vessel given by a Refund Guarantor in favor of the Borrower;

Refund Guarantees means, together, Refund Guarantee A, Refund Guarantee B and Refund Guarantee C and in the singular means any of them;

Refund Guarantees means refund guarantees issued or to be issued by the Refund Guarantor in favour of the Borrowers respectively pursuant to the Building Contracts in respect of each Instalment and “Refund Guarantee” means any one of them.

Refund Guarantees means either or both of them;

Refund Guarantees means, together each guarantee(s) issued or (as the case may be) to be issued by a Refund Guarantor in favour of the Buyer in respect of certain of the Seller’s obligations under the Contract or any agreement supplemental to the Contract and any extensions, renewals or replacements thereto or thereof and “Refund Guarantee” means each one of them;
