Reference Agreement means the California Judicial Reference Agreement dated as of June 26, 2014 by and among the Borrower (as successor to Tri Pointe Homes Holdings, Inc.), the Guarantors, the Administrative Agent and Lenders, as amended, restated, supplemented or otherwise modified, renewed or replaced from time to time pursuant to the terms hereof and thereof.
