Upon the acceleration of the Loans outstanding hereunder following the occurrence and the continuance of any Event of Default, the Required Banks may, at their option, and, notwithstanding Section 2.12(m) of this Agreement, Redenominate all Eurocurrency Rate Loans denominated in Alternative Currencies and then outstanding into Eurocurrency Rate Loans or Base Rate Loans denominated in Dollars.
If a Borrower on any day is unable or is not entitled to Convert, Redenominate or continue such Advances into or as an RFR Advance pursuant to Section 2.03 or Section 2.10, the Agent will forthwith so notify such Borrower and the Banks and such Advances will automatically, on such day, Convert into Base Rate Advances denominated in Dollars.
Restricted Stock Measurement Date: the earlier of (1) the first trading day following 270 days after the Distribution Date or (2) September 30, 1996; or (3) such earlier date as the Company shall permit in the "Consent to Redenominate" between the Company and the holder of restricted stock.
