This Agreement shall constitute: (a) a Redemption Notice with respect to all Owned Common Units; (b) an Election Notice that the Corporation elects to have the Owned Common Units redeemed in consideration for a Share Settlement; and (c) an Exchange Election Notice that the Corporation elects to exercise its right to consummate a Direct Exchange.
Each Party hereby waives the time period that otherwise would be required for delivering a Redemption Notice and the timing of the Redemption Date (as contemplated by Section 11.01(a) of the LLCA).
The timely delivery of a Retraction Notice shall terminate all of the Redeeming Member’s, the Company’s and the Corporation’s rights and obligations under this Section 11.01 arising from the Redemption Notice.
