Recoupment Amount definition

Recoupment Amount means the amount of Incentive-Based Compensation Received by the Covered Person based on the financial statements prior to the restatement that exceeds the amount such Covered Person would have received had the Incentive-Based Compensation been determined based on the financial restatement, computed without regard to any taxes paid (i.e., gross of taxes withheld).
Recoupment Amount has the meaning assigned in Section 4.4(b)(1) of this Agreement.
Recoupment Amount means the amount determined under Subsection 4.1 of this Policy.

Examples of Recoupment Amount in a sentence

  • A Company’s obligation to recover the Recoupment Amount is not dependent on if or when the restated financial statements are filed.

  • Actions by the Administrator to recover the Recoupment Amount will be reasonably prompt.

  • The Recoupment Amount will be calculated in accordance with the Final Rules, as provided in the Calculation Guidelines attached hereto as Exhibit B.

More Definitions of Recoupment Amount

Recoupment Amount means the amount of Alternative Payment Revenue otherwise payable to the Publisher that will be permanently withheld by Tapjoy in order to recover Marketing Credits and/or Development Credits included in the Term Sheet. For clarity, distribution of Alternative Payment Revenue to the Publisher per the percentages stipulated in the Term Sheet will not begin for an Application until the full amount of Marketing Credits and/or Development Credits have been recovered by Tapjoy.
Recoupment Amount means the amount of applicable Incentive-Based Compensation (i.e., Incentive-Based Compensation that meets the criteria in Section 2) Received by the Covered Person based on the financial statements prior to the accounting restatement that exceeds the amount of Incentive-Based Compensation such Covered Person would have received had the amount of Incentive-Based Compensation been determined based on the applicable accounting restatement, computed without regard to any taxes paid (i.e., gross of taxes withheld). A description of how the “Recoupment Amount” shall be calculated for Incentive-Based Compensation based on stock price or TSR is contained in Exhibit B.
Recoupment Amount means, for any invoice, in the case where the Excess Amount is greater than zero for such month, the amount to be deducted from the Excess Amount as calculated as set forth in Section 4(b) herein.
Recoupment Amount means the amount of any Incentive-Based Compensation (calculated on a pre-tax basis) Received by a Covered Person during the Clawback Period that is in excess of the amount that otherwise would have been Received if the calculation were based on the restatement. For the avoidance of doubt Recoupment Amount does not include any Incentive-Based Compensation Received by a person (i) before such person began service in a position or capacity meeting the definition of an Executive Officer, (ii) who did not serve as an Executive Officer at any time during the performance period for that Incentive-Based Compensation, (iii) during any period the Company did not have a class of its securities listed on a national securities exchange or a national securities association, or (iv) prior to the Effective Date.
Recoupment Amount when used herein shall have the meaning set forth in Schedule B to this Agreement.
Recoupment Amount means the sum of the Daily Recoupment Amounts; provided, however, that the Recoupment Amount shall in no event exceed -------- $1,000,000.
