Recipient Representative definition

Recipient Representative is the person(s) so designated on Schedule C hereto or any other person designated, in a writing signed by Recipient and delivered to Escrow Agent and the Depositor Representative in accordance with the notice provisions of this Escrow Agreement, to act as its representative under this Escrow Agreement.

Escrow Agent shall disburse Escrow Funds at any time and from time to time, upon receipt of and in accordance with, a Joint Written Direction. Such Joint Written Direction shall include instructions to disburse funds conforming to the payment instructions set forth on Schedule A hereto, or if payment instructions are altered, such Joint Written Direction shall contain complete payment instructions, including wire transfer instructions or an address to which a check shall be sent. Upon the expiration of the Escrow Period and without any further direction or instruction, Escrow Agent shall distribute to [Recipient], as promptly as practicable, any remaining Escrow Funds in accordance with the payment instructions for [Recipient] set forth on Schedule A hereto. Prior to any disbursement, Escrow Agent shall have received reasonable identifying information regarding the recipient such that Escrow Agent may comply with its regulatory obligations and reasonable business practices, including without limitation a completed United States Internal Revenue Service (“IRS”) Form W-9 or IRS Form W-8, as applicable.
