Receivables Amount definition

Receivables Amount means, as of the last day of any fiscal quarter of the Company, on a consolidated basis and without duplication, an amount equal to (a) 80% multiplied by the aggregate total book value of the Company’s and its Domestic SubsidiariesDomestic Receivables on such date, plus (b) 60% multiplied by the sum of the aggregate total book value of (i) the Company’s and its Domestic Subsidiaries’ Foreign Receivables and (ii) the Company’s Foreign Subsidiaries’ Receivables on such date.
Receivables Amount means the amount of accrued but unpaid fees, commissions and other amounts owed to or otherwise in favor of the Sellers (other than the Incentive Fees Amount) as of and including the day immediately prior to the Closing Date under each of the Contracts to be transferred to the Buyer as of the Closing, as calculated in a manner consistent with Schedule 1D hereto and with such calculations to be made as of and including the day immediately prior to the Closing Date.
Receivables Amount has the meaning specified in Exhibit C-3.

  • Each Receivable acquired by the Company that is included in the calculation of the Aggregate Receivables Amount is an Eligible Receivable and, in the case of Receivables acquired by the Company after the Initial Borrowing Date, on the related Receivables Contribution Date, each such Receivable that is included in the calculation of the Aggregate Receivables Amount on such Receivables Contribution Date is an Eligible Receivable.
