Recapitalization Event definition

Recapitalization Event means a transaction or event described in Section 4.05(a)(iv).

  • The amounts to be paid or set aside for payment as provided above in this Section 5 shall be proportionately increased or decreased in inverse relation to the change in the number of outstanding shares resulting from any Series A Recapitalization Event.

More Definitions of Recapitalization Event

Recapitalization Event means a recapitalization, reorganization, stock dividend or other special corporate restructuring which results in an extraordinary distribution to the stockholders of cash and/or securities through the use of leveraging or otherwise but which does not result in a Change of Control.
Recapitalization Event means any event of share combination or subdivision, share splits, share dividends, bonus share issuance, combination or any other reclassification, reorganization or recapitalization or change of the Company’s share capital where the shareholders retain their proportionate holdings in the Company, on an as-converted basis.
Recapitalization Event means either an Up-MACRO Recapitalization Event or a Down-MACRO Recapitalization Event, as applicable.
