R&D Activities definition

R&D Activities has the meaning set forth in Section 4.3.3 (Contents of Collaboration R&D Plans)
R&D Activities means those tests, studies and other activities set forth in, or required in order to obtain the information set forth in, the R&D Plan and such other tests, studies and other activities as may be specified from time to time by the R&D Committee with respect to the subject Female Product.
R&D Activities means research and development activities related to the selection of Candidate Compounds (including the work of the Exploratory Team), Screening Activities, Feasibility Study and Development Project activities (including the preparation of the Screening Plan, Feasibility Plan, Development Project Proposal, the Development Project Plan and any revisions thereto), as well as research and development activities relating to any Strain or Compound or Product in development within the R&D Collaboration. For clarity, the R&D Activities include the New Technology Activities and the activities in the exercise of the TOTAL R&D Option. For clarity, R&D Activities do not encompass Improvement Scope Activities.

Examples of R&D Activities in a sentence

  • Each report or presentation shall cover the R&D Activities conducted by or on behalf of such Party since the previous JRC meeting, including a summary of results, information and data generated and any R&D Activities expected to be conducted under the R&D Plan for the next Calendar Quarter.

  • In addition, upon the reasonable request of a Party, the other Parties shall provide to such Party updates regarding the performance and results of the R&D Activities allocated to such Party under the R&D Plan and shall respond to such Party’s reasonable questions or requests for additional information relating to such activities in a timely manner.

  • PM SpinCo shall designate one of its representatives as the project leader (“Project Leader”) to oversee, manage and coordinate the R&D Activities to be conducted by the RCA PM Parties under the R&D Plan and shall make decisions in line with the R&D Plan at the direction of the Project Team.

  • Subject to the terms and conditions of this Agreement, PM SpinCo hereby grants to PlatformCo, a non-exclusive, worldwide, non-transferable (except in accordance with Section 15.5), royalty-free license, with no right to grant sublicenses, except to permitted subcontractors as provided in Section 3.6, under and to the PM SpinCo Licensed IP solely to the extent necessary for PlatformCo to conduct its R&D Activities under the R&D Plan.

  • If the IND-Enabling Tox Studies have not been completed prior to the expiration of the Research Term, then the RCA PM Parties shall deliver to Novo Nordisk an IND-Enabling Data Package comprising all data and other information generated in the conduct of the R&D Activities prior to the expiration of the Research Term and that would otherwise be required to be included in the IND-Enabling Data Package.


More Definitions of R&D Activities

R&D Activities means any research and development activities conducted by the parties under this Agreement pursuant to the Statement of Work.
R&D Activities means systematic investigation or experimentation activities:
R&D Activities or “Research and Development Activities” mean with respect to Information, the performance of research and development activities (conceptual, preliminary, and final design phases) and obtaining Regulatory Approvals for LTR and/or LTA from Regulatory Authorities, through completion of the PIE by a Party or on behalf of such Party. For the sake of clarity, R&D Activities shall be understood to run through the end of lead test assembly demonstration, and R&D Activities shall not be construed to include the supply of batch reloads.
R&D Activities shall have the meaning assigned to it in Section 2.1.
R&D Activities means research, including for the discovery of clinical and commercial research tools, products (including components of products), therapies or services for the treatment, prevention, palliation, delay and/or diagnosis of diseases or disorders or the improvement of quality of life.
R&D Activities has the meaning set forth in Section 3.1.1.
R&D Activities means those tests, studies and other activities set forth in, or required in order to obtain the information set forth in, the R&D Plan and such other tests, studies and other activities as may be specified from time to time by the R&D Committee with respect to the subject Female Product. “R&D Plan” shall have the meaning set forth in Section 1.1(a), as amended by (a) the Memorandum of Understanding signed June 19, 2006, (b) the Memorandum of Understanding signed June 21, 2006, (c) the Memorandum of Understanding signed June 22, 2006, (d) the R&D Committee minutes dated between June 22-24, 2005 and (e) the R&D Committee minutes dated August 31, 2006, in each case ((a), (b), (c), (d) and (e)) to the extent that the referenced document modifies the Initial R&D Plan. “R&D Program” shall mean the program of R&D Activities carried out by the parties pursuant to the R&D Plan. “Safety and Efficacy Standards” shall mean, with respect to a Subject Male Product, (a) a demonstrated safety performance at least as safe as the prototype Female Product presented by Palomar to Gillette on May 6 and 7, 2002, and (b) a resulting hair growth clearance period longer than the period resulting from shaving with a conventional blade device, in each case as evidenced by studies at least as stringent as those provided by Palomar to Gillette on May 6 and 7, 2002. “Second Decision Point” shall mean thirty (30) days after the Commercial Assessment Period Termination Date. “Second Development Completion Payment Date” shall mean the date of the Second Decision Point.
