RCF Agent definition

RCF Agent means Citibank, N.A., in its capacity as administrative agent under the Credit Facility. For the avoidance of doubt, the RCF Agent is a Consenting Lender.

RCF Agent means the agent under the Revolving Credit Facility and shall initially be the administrative agent for the lenders under the Revolving Credit Facility, together with its successors and permitted assigns in such capacity.

RCF Agent means Wells Fargo Bank, National Association, as administrative agent under the RCF Credit Agreement, and any successors and permitted assigns, in such capacity.

• To the extent provided in the New RCF Documents, the New RCF Agent is authorized to file with the appropriate authorities mortgages, financing statements and other documents, and to take any other action in order to evidence, validate, and perfect such Liens or security interests.

• For the avoidance of doubt, neither the RCF Agent Advisors, the Consenting Noteholders Advisors, the Rowan Ad Hoc Group, nor the Initial Backstop Parties shall be required to file any interim or final fee application with the Bankruptcy Court with respect to any invoices.

• Through the Effective Date, the Debtors shall pay currently in cash all reasonable and documented fees and expenses of the RCF Agent Advisors, the Consenting Noteholders Advisors, and the Initial Backstop Parties, and the Rowan Ad Hoc Group Fees (other than those fees and expenses incurred in pursuing the Harris County Litigation).

• Except as expressly provided in this Plan or the Confirmation Order, on and after the Effective Date, each of the RCF Agent and Senior Notes Trustee and their respective agents, successors, and assigns shall be automatically and fully discharged and released of all of their duties and obligations under the Base Indenture and the applicable RCF Documents, as applicable.

• On the Distribution Record Date, the Claims Register, and the registers maintained by the RCF Agent and the DIP Agent (collectively, the “Loan Registers”) shall be closed and any party responsible for making distributions shall instead be authorized and entitled to recognize only those record Holders listed on the Claims Register or the Loan Registers, as applicable, as of the close of business on the Distribution Record Date.

RCF Agent means the administrative agent under the Fourth Amended and Restated Credit Agreement, dated as of May 7, 2013, among Valaris plc and Pride International, Inc., as borrowers, the banks party thereto, Citibank, N.A., as administrative agent, DNB Bank ASA, as syndication agent, Deutsche Bank Securities Inc., HSBC Bank USA, N.A. and Wells Fargo Bank, National Association, as co-documentation agents, and Citibank, N.A., DNB Bank ASA, New York Branch, Deutsche Bank AG New York Branch, HSBC Bank USA, N.A. and Wells Fargo Bank, National Association, each as an issuing bank, as amended, restated, supplemented or modified from time to time.

RCF Agent. “Senior Creditor”, “Pari Passu Lender”, “Pari Passu Agent” or “RCF Finance Party” shall be construed to be a reference to it in its capacity as such and not in any other capacity;

RCF Agent. “Senior Creditor”, “Pari Passu Lender”, “Pari Passu Agent”, “RCF Finance Party” or any other person shall be construed so as to include its successors in title, permitted assigns and permitted transferees and, in the case of the Security Agent, any person for the time being appointed as Security Agent or Security Agents in accordance with this Agreement;

RCF Agent means “Agent”, as defined in the RCF;

RCF Agent means the agent under the RCF Agreement, being Global Loan Agency Services Limited on the Exchange Date (or any replacement agent thereof).
