RBS Facility definition

RBS Facility means the Loan Facility made available by RBS to certain of the Guarantors as borrowers pursuant to a Facility Agreement dated 10 September 2015.

RBS Facility means the Amended and Restated Letter of Credit Agreement among the Company, the subsidiary guarantors thereunder and The Royal Bank of Scotland N.V. dated as of June 24, 2011.

RBS Facility means the facility agreement entered into between the Parent, certain of its subsidiaries and the Security Trustee dated 24 October 1993, as subsequently restated and amended, supplemented or modified from time to time;

RBS Facility means the USD 300 million Multicurrency Facility Agreement, dated as of 26 September 2014, among, inter alios, GulfMark Americas, as original borrower, the Parent Guarantor, as original guarantor, the lenders party thereto, The Royal Bank of Scotland plc, as agent, The Royal Bank of Scotland PLC, as security trustee, JPMorgan Chase Bank, N.A. and Xxxxx Fargo Bank, N.A., as letter of credit issuing banks, and JPMorgan Chase Bank, N.A., as swingline lender, as the same may be amended, amended and restated, supplemented or otherwise modified from time to time.

RBS Facility means the bonding facility previously made available to the Group by The Royal Bank of Scotland plc. RECEIVER means a receiver and manager or (if the Facility Agent so specifies in the relevant appointment) a receiver, in either case, appointed under this Deed. SECURED LIABILITIES means all present and future obligations and liabilities (whether actual or contingent and whether owed jointly or severally or in any other capacity whatsoever) of each Chargor to any Senior Lender under or in respect of each Senior Document to which a Chargor is a party, except for any obligation which, if it were so included, would result in this Deed contravening Section 151 of the Companies Act 1985.
