Rated Entity definition

Rated Entity means a person or company that is issuing, or that has issued, securities that are the subject of a credit rating issued by a designated rating organization and includes a person or company that made a submission to a designated rating organization for the designated rating organization’s initial review or for a preliminary rating but did not request a final rating;
Rated Entity means a legal person whose creditworthiness is explicitly or implicitly rated in the credit rating, whether or not it has solicited that credit rating and whether or not it has provided information for that credit rating;
Rated Entity means a Person whose long-term unsecured debt obligations (at the time of the transfer of the Certificate pursuant to Section 3.7 of the Trust Agreement) are rated within the investment grade categories of each Rating Agency.

Rated Entity means: (i) the issuer or obligor with respect to any Security that has received or is expected to receive, as the case may be, a Rating from Fitch Ratings or (ii) an entity to which Fitch Ratings has assigned or is expected to assign, as the case may be, a Rating.
Rated Entity means a legal person, a financial instrument, a financial product or a public authority or a body governed by public law which is explicitly or implicitly rated in the ESG rating or score, irrespective of whether such rating has been requested for and irrespective of whether the legal person has provided information for that ESG rating or score;
Rated Entity means Bank or Bank’s parent; (c) “Moody’s” means Xxxxx’x Investors Service, Inc., or its successor; and (d) “S&P” means Standard & Poor’s Rating Services, a division of The XxXxxx-Xxxx Companies, Inc., and its successors. If Bank fails or is unable to comply with its obligations set forth in the above paragraph, an Additional Termination Event shall occur with respect to the Transaction on the day that is 30 days following the failure to maintain the Required Ratings and in respect of which Bank shall be the sole Affected Party. Bank shall pay all reasonable out-of-pocket expenses, including legal fees, incurred by Counterparty in entering into a new interest rate cap agreement in form and substance similar to the Master Agreement, as supplemented by this Confirmation. For purposes of the Master Agreement, Section 7 is hereby amended by adding the following provision immediately following the word “void” in the last sentence thereof: “; provided however, that Bank consents to the pledge and assignment by Counterparty of all of Counterparty’s rights and interests under this Agreement (including any Credit Support Annex) pursuant to the Receivables Purchase and Administration Agreement.
Rated Entity means (i) the issuer, obligor, guarantor or credit support provider (letter of credit issuer banks, etc.) with respect to any Security that is rated or in the process of being rated by Fitch, (ii) an entity to which Fitch has assigned an Issuer Default Rating, and (iii) a sponsor, seller or seller/servicer, originator, underwriter or arranger with respect to a Security in a structured finance transaction that is rated by Fitch.
Rated Entity means (i) the issuer, obligor or guarantor with respect to any Security that is rated or in the process of being rated by CariCRIS, (ii) a sponsor, seller or seller/servicer, originator, underwriter or arranger with respect to a Security in a structured finance transaction that is rated by CariCRIS.
Rated Entity means a Person whose long-term unsecured debt obligations (at the time of the transfer under Section 7.03) are rated within the investment grade categories of either Moody's or S&P.
Rated Entity means a Person whose long-term unsecured debt obligations (at the time of the transfer under Section 5.5) are rated within the investment grade categories of each Rating Agency.
