Rate Reset Date definition

Rate Reset Date means the earlier to occur of (A) the consummation of the remarketing of the Initial Shares (as such term is defined in the Remarketing Agreement), which is expected to be on or about the third Trading Day following the Successful Repricing Date, and (B) the date of a Failed Remarketing.
Rate Reset Date means the first Business Day of each calendar month; provided, however, that with respect to any Revolving Loan made on the Effective Date or on any date other than the first Business Day of a calendar month, “Rate Reset Date” also means the Effective Date or the date of such Revolving Loan, as applicable.

Anything in this Agreement to the contrary notwithstanding, but subject to Section 2.12(d), the Applicable Rate shall be (i) the applicable rate provided for in Tier V in the table set forth above in this definition (x) during any period when an Event of Default shall have occurred and be continuing, or (y) if the applicable Compliance Certificate shall not be delivered within the time that the applicable financial statements are required to be delivered by Section 5.01(a) or (b), as the case may be (but only, in the case of this clause (y), with respect to the portion of such Rate Period prior to the delivery of such Compliance Certificate) and (ii) subject to the preceding clause (i), the applicable rate provided for in Tier III in the table set forth above in this definition during the first Rate Period.
