Rate Differential definition

Rate Differential means the percentage points added to LIBOR to equal the Rate, and shall be based upon the then-current Total Loans and Capital Leases to Net Worth Ratio of Borrowers according to the following schedule:
Rate Differential means, with respect to any Note Payment Date, the sum of all Daily Equivalents (calculated on the basis of a 360 day year consisting of twelve 30 day months) for the 30 day month to which such Note Payment Date relates.
