Qualifying Request definition

Qualifying Request means a request made by a Responsible Officer of Borrower under Section 1.4 for (i) a Loan that is within Borrower’s borrowing availability under this Agreement, satisfies the relevant conditions set forth in Section 9 of the Schedule and is accompanied by such certificates, documents and instruments as may be required under this Agreement or otherwise reasonably required by PFG to confirm Borrower’s compliance with the Loan Documents at the time of such request, or (ii) any other matter for which PFG’s consent is required under the Loan Documents.
Qualifying Request means a written request, for a direction under section 35(1) or subsection (3) of this section, that—

Examples of Qualifying Request in a sentence

  • To obtain a Loan, Borrower shall make a Qualifying Request to PFG compliant with Section 8.5. Loan Requests are not deemed made until PFG acknowledges receipt of the same by electronic mail or otherwise in writing.

  • If a Qualifying Request is made by fewer than all Holders of Registrable Securities, copies of the Qualifying Request shall be distributed by the Company to all Holders who are not Parties to such Qualifying Request within five Business Days after it is received by the Company.

  • The Holders of a majority of the Registrable Securities that are the subject of such Qualifying Request shall have the right to designate the managing underwriter(s) of any such offering, subject to the consent of the Company, which consent shall not be unreasonably withheld.

  • Any Qualifying Request made after three (3) registrations have been consummated pursuant to this Section 2 shall cover Registrable Securities which, together with other securities of the Company entitled to inclusion in such registration, are proposed to be sold at an aggregate price to the public of not less than one million dollars ($1,000,000).

  • To obtain a Loan, Borrower shall make a Qualifying Request to PFG by facsimile or telephone.


More Definitions of Qualifying Request

Qualifying Request means a request that (i) is made after the earlier of (X) October 1, 2002, or (Y) three (3) months after the effective date of the first registration statement for a public offering of securities of the Company (other than a registration statement relating solely either to the sale of securities to employees of the Company pursuant to a stock option, stock purchase or similar plan or a transaction pursuant to Rule 145 under the Securities Act) and (ii) is from any Holder(s), who in the aggregate hold at least fifty percent (50%) of the Registrable Securities then outstanding, provided that such request covers the registration of at least thirty percent (30%) of the Registrable Securities then outstanding (or a lesser percentage if the anticipated aggregate offering price, net of underwriting discounts and commissions, would exceed $5,000,000).
Qualifying Request means a request made by a Responsible Officer of Borrower under Section 1.4 for (i) a Loan (A) that is within Borrower’s borrowing availability under this Agreement, (B) that satisfies the relevant conditions set forth in this Agreement (including the Schedule), (C) that is accompanied by such certificates, documents and instruments as may be required under this Agreement or otherwise reasonably required by PFG to confirm Borrower’s compliance with the Loan Documents at the time of such request, and (D) that is made within 30 days of the date the Reporting package is required to be delivered (as specified in Section 6 of the Schedule) showing satisfaction of the relevant borrowing conditions, or (ii) any other matter for which PFG’s consent is required under the Loan Documents.
Qualifying Request means a request for a Demand Registration (a) made in writing, (b) by the Holder or Holders of Registrable Securities constituting one third (1/3) of all Registrable Securities, (c) specifying the number of Registrable Securities to be offered for sale pursuant to the Demand Registration, and (d) specifying whether the Company is to arrange for a public sale in a firm commitment underwritten secondary offering of the Registrable Securities that are the subject of such request.
