Qualifying Distribution definition

Qualifying Distribution means any Distribution to which the Distribution Reinvestment Plan applies, as determined by the Manager;
Qualifying Distribution means any Distribution to which the DRP (as determined by the Manager as provided below) applies;
Qualifying Distribution means a distribution or dividend from a Portfolio Company that: (A) has been made as a result of such Portfolio Company’s disposition of a specified asset; and (B) that results in the fair value of the investment in the Portfolio Company (as approved by the Board) falling to less than 110% of the Carrying Cost of the Portfolio Company.

  • A Unitholder who elects to receive New Units under the Distribution Reinvestment Plan in lieu of the cash amount of the Qualifying Distribution may receive such New Units in odd lots.
