The Parties shall direct the Scientific Panel to issue a decision with respect to the matter presented before them within [***] after the third Qualified Scientist is appointed to the Scientific Panel.
Within [***] days following any such request for a Scientific Panel, each of Prothena and Celgene shall nominate a Qualified Scientist to participate on the applicable Scientific Panel and, if the Parties are unable to agree upon a third Qualified Scientist for such Scientific Panel within [***] days following any such request for a Scientific Panel, then the initial two Qualified Scientists shall select such third Qualified Scientist.
This includes the allowance of research in all official GSEF categories and ISEF research types, including those involving animals, humans, DNA and tissue research provided 1) all 2025 GSEF and ISEF rules are strictly followed and 2) approval from a trained and approved SRC/IRB is obtained prior to beginning research and 3) an Adult Sponsor, Qualified Scientist, and/or Designated Supervisor (as defined by ISEF) is/are involved if required by ISEF rules or SRC/IRB policies.
Each Scientific Panel shall act as follows: (1) each Qualified Scientist (and the Scientific Panel as a whole) shall act as an expert and not as an arbitrator; (2) each decision of the Scientific Panel shall be by majority vote of the three (3) Qualified Scientists; and (3) the CERTAIN CONFIDENTIAL INFORMATION CONTAINED IN THIS DOCUMENT, MARKED BY [***], HAS BEEN OMITTED BECAUSE IT IS BOTH (I) NOT MATERIAL AND (II) IS THE TYPE THAT THE REGISTRANT TREATS AS PRIVATE OR CONFIDENTIAL.
