Examples of Qualified Assets in a sentence
If certain expenses are incurred that are related both to the ownership of Membership Interests or operation of, or for the benefit of, the Company and to the ownership of other assets (other than Qualified Assets) or the operation of other businesses, such expenses will be allocated to the Company and such other entities (including the Managing Member Entity) in its sole and absolute discretion deems fair and reasonable.
In the event the Managing Member Entity wishes to acquire assets other than Qualified Assets or to hold assets and conduct business other than through the Company, the Managing Member Entity shall notify the Non-Managing Members and the parties shall negotiate in good faith mutually acceptable amendments to the Redemption Right and other provisions of this Agreement that are premised on the direct relationship of the Shares with the Managing Member’s Membership Interests in the Company.
