If the Paying Agent holds cash sufficient to pay the Put Purchase Price of the Debentures on the Purchase Date, then, immediately after the Purchase Date, the Debentures shall cease to be outstanding and interest on such Debentures shall cease to accrue, whether or not such Debentures are delivered to the Paying Agent.
After the Debentures cease to be outstanding, all other rights of the Holders of the Debentures shall terminate, other than the right to receive the Put Purchase Price upon delivery of the Debentures.
Any purchase by the Company contemplated pursuant to the provisions of this Article XII shall be consummated by the delivery of the Put Purchase Price to be received by the Holder promptly following the later of the Purchase Date and the time of delivery of the Debentures to be purchased.
