From the date of this Agreement until the Closing, the Purchaser and the Purchaser’s Representatives may not, without the prior written consent of the Company, contact or communicate with any of the employees, customers, suppliers or other business relations of the Company or its Subsidiaries in connection with the Transactions.
Any document or item will be deemed “delivered”, “provided” or “made available” within the meaning of the representations and warranties contained in this Agreement if such document or item (i) is included in the Dataroom or (ii) actually delivered or provided to the Purchaser or any of Purchaser’s Representatives (including via Electronic Delivery), in each case not less than one Business Day prior to the date of this Agreement.
