Purchaser’s Representatives definition

Purchaser’s Representatives shall have the meaning ascribed to it in Section 6(a) herein.

Purchaser’s Representatives is defined in Section 7.1(a).

Purchaser’s Representatives means the directors, officers, employees, agents, consultants, internal and external financial, technical, legal or other advisors and any representatives of Purchaser and of any of Purchaser's Affiliates;

• Prior to any visits by Seller or its Subcontractors to the Project Site, Seller shall coordinate and arrange such visits with Purchaser’s Representatives.

• Subject to the terms of this Agreement, all investigations and due diligence conducted by Purchaser or any of Purchaser’s Representatives shall be conducted at Purchaser’s sole cost, risk and expense and any conclusions made from any examination done by Purchaser or any of Purchaser’s Representatives shall result from Purchaser’s own independent review and judgment.

• Notwithstanding anything contained herein to the contrary, it is understood and agreed that money damages would not be a sufficient remedy for any breach of this Section 6.3 by Purchaser or Purchaser’s Representatives and that Seller shall be entitled to specific performance and injunctive or other equitable relief as a remedy for any such breach of this Section 6.3 by Purchaser or Purchaser’s Representatives.

• All investigations and due diligence conducted by Purchaser or any of Purchaser’s Representatives with respect to the Assets shall be conducted at Purchaser’s sole cost, risk, and expense and any conclusions made from any examination done by Purchaser or any of Purchaser’s Representatives shall result from Purchaser’s own independent review and judgment.

• Purchaser and its contractors and Purchaser’s Representatives shall be permitted access to the Project Site at all times and shall be permitted to visit factories during the manufacturing of equipment, materials, and components for the Project and to witness factory tests and inspections.
