Purchase Notice Date definition

Purchase Notice Date shall have the meaning specified in Section 2.2(a).

Purchase Notice Date means, during the Purchase Period, 11.00 a.m. of the date which falls 10 Business Day prior to each Payment Date.

Purchase Notice Date means, with respect to a Purchase made pursuant to Section 3.1, the Trading Day that a Purchase Notice shall be deemed delivered on (i) the Trading Day it is received by email by the Investor if such notice is received on or prior to 4:00 p.m. New York time or (ii) the next Business Day if it is received by email after 4:00 p.m. New York time on a Trading Day or at any time on a day which is not a Trading Day.

• A Purchase Notice shall be deemed delivered (and the Purchase Notice Date shall be) on (i) the Business Day that the Purchase Notice has been received by email by the Investor if such notice is received on or prior to 8:00 a.m. New York time or (ii) the next Business Day if it is received by email after 8:00 a.m. New York time on a Business Day or at any time on a day which is not a Business Day.

• At the Company’s option, on the Business Day prior to a Purchase Notice Date, the Company may request, in writing, the Investor to provide to the Company, and the Investor shall promptly provide to the Company, the number of Ordinary Shares then beneficially owned by the Investor, as determined in accordance with Section 13 of the Exchange Act, solely for the purpose of determining the amount of Purchase Notice Securities that may be set forth on the Purchase Notice.

More Definitions of Purchase Notice Date

Purchase Notice Date means the Business Day on which the Investor receives the DWAC Shares set forth in the Purchase Notice in its brokerage account.

Purchase Notice Date means the Business Day that the Purchase Notice is received by the Buyer.
