The parties acknowledge and agree that during the Rapid Purchase Notice Date and Regular Purchase Valuation Period, the Investor may contract for, or otherwise effect, the resale of the subject purchased Purchase Notice Shares to third parties.
The Closing of a Purchase Notice (other than a Rapid Purchase Notice) shall occur two (2) Business Days following the Purchase Notice Date (the “Closing Date”), whereby the Investor shall deliver to the Company, by 5:00 p.m. New York time on the Closing Date, the Investment Amount by wire transfer of immediately available funds to an account designated by the Company.
If the applicable Rapid Purchase Notice Form is received after 2:00 p.m. New York time, then the next Business Day shall be the Rapid Purchase Notice Date, unless waived by Investor in writing.
If the applicable Purchase Notice Form is received after 9:30 a.m. New York time, or the DWAC of the applicable Purchase Notice Shares has not been completed as confirmed by the Investor’s Designated Brokerage Account by 9:30 a.m. New York time, then the next Business Day shall be the Purchase Notice Date, unless waived by the Investor in writing.
For each Purchase Notice, the Purchase Price shall be calculated as eighty percent (80%) of the Lowest VWAP during the fifteen (15) consecutive Business Day period immediately preceding the applicable Purchase Notice Date (the “Pricing Period”).
