Public Reports definition

Public Reports includes all reports filed by Company under the Act or the Exchange Act, including pursuant to Section 13(a) or 15(d) thereof, for the two full fiscal years preceding the Effective Date and thereafter.
Public Reports shall have the meaning set forth in Section 5.1(d).
Public Reports has the meaning set forth in Section 3(e) below.

Examples of Public Reports in a sentence

  • The Public Reports do not contain any untrue statement of a material fact or omit to state any fact necessary to make any statement therein not misleading.

  • The financial statements of Company included in the Public Reports, as amended, comply in all material respects with applicable accounting requirements and the rules and regulations of the Commission with respect thereto as in effect at the time of filing.

  • Company has filed all required Public Reports for the one year preceding the Effective Date.

  • Company’s accountants are set forth in the Public Reports and such accountants are an independent registered public accounting firm.

  • The Company has not received, since the date of the latest audited financial statements included within the Public Reports, a written notice of a claim or otherwise has any knowledge that the Intellectual Property Rights violate or infringe upon the rights of any Person, except as could not have or reasonably be expected to not have a Material Adverse Effect.

Public Reports means Borrower’s (a) annual report on Form 10-K for the year ended December 31, 2007 and (b) current report on From 8-K filed with the SEC on March 28, 2008.
Public Reports has the meaning set forth in §4A(b)(ii).

Public Reports means (a) in the case of PEPCO, (i) its annual report on Form 10-K for the year ended December 31, 2002, and (ii) its quarterly report on Form 10-Q filed with the SEC on May 14, 2003; (b) in the case of DPL, (i) its annual report on Form 10-K for the year ended December 31, 2002, and (ii) its quarterly report on Form 10-Q filed with the SEC on May 14, 2003; (c) in the case of ACE, (i) its annual report on Form 10-K for the year ended December 31, 2002, and (ii) its quarterly report on Form 10-Q filed with the SEC on May 14, 2003; and (d) in the case of PHI, (i) its annual report on Form 10-K for the year ended December 31, 2002, and (ii) its quarterly report on Form 10-Q filed with the SEC on May 14, 2003.
