Public Filing means any filing pursuant to Rule 144 of the Securities Act of 1933, as amended, or pursuant to Sections 13 or 16 of the Exchange Act that is required to be filed by the undersigned during the Lock-Up Period. For the avoidance of doubt, it is understood that nothing in this Lock-Up Agreement shall be construed to restrict the undersigned’s right to: (i) establish or modify a trading plan pursuant to Rule 10b5-1 under the Exchange Act for the transfer of Units, provided that such plan does not provide for any transfers of Units during the Lock-Up Period pursuant to this Lock-Up Agreement, and provided further that the establishment or modification of any such trading plan does not result in a Public Filing; and (ii) exercise any rights it may have to require the Company to register Units, provided, however, (x) no registration statement shall be filed with the SEC pursuant to such rights prior to the end of the Lock-Up Period and (y) such exercise does not result in a Public Filing. Notwithstanding anything to the contrary contained herein, this Lock-Up Agreement will automatically terminate and the undersigned will be released from all of its obligations hereunder if (i) you, on the one hand, or the Company on the other hand, advises the other in writing, prior to the execution of the Underwriting Agreement, that it has determined not to proceed with the Public Offering, (ii) the Company files an application to withdraw the Registration Statement relating to the Public Offering or (iii) the Underwriting Agreement is executed but is terminated (other than the provisions thereof that survive termination) prior to payment for and delivery of the Units. For the avoidance of doubt, nothing contained herein shall prohibit the undersigned from selling its Units in the Public Offering pursuant to the Underwriting Agreement. This Lock-Up Agreement shall be governed by, and construed in accordance with, the laws of the State of New York.
