The Local Underlying Convertible Debentures will be offered under in two series, (i) one denominated in U.S. dollars and (“USD-denominated Debentures”) and (ii) another denominated in Brazilian reais and indexed to U.S. dollar exchange rate variations, based on the PTAX Rate (the “Dual Series Structure”).
The conversion of the Brazilian Reais into United States Dollars shall be effected by applying the PTAX Rate in force in the Business Day immediately preceding the payment date of the dividend and interest on equity.
All amounts due in respect of the principal of, interest, additional amounts, if any, fees and premium, on the Notes will be denominated in Brazilian reais but settled in U.S. dollars, in an amount as calculated by the Issuer by converting the Brazilian reais amount into U.S. dollars at the PTAX Rate on the applicable Rate Calculation Date.
Any monetary sum to be converted from one currency into another currency for the purposes of this Agreement for any Business Day shall be converted at the Brazilian Reais / U.S. Dollar commercial rate, based on the bid rate (PTAX) for the U.S. Dollars published by the Brazilian Central Bank on its website (which, on the date hereof, is located at ▇▇▇▇://▇▇▇.▇▇▇.▇▇▇.▇▇) (or any successor screen established by BACEN), unless expressly provided otherwise in this Agreement ("PTAX Rate").
If the PTAX Rate is higher, a corresponding downward adjustment shall apply to the amount of principal, interest, additional amounts, if any, fees or premium payable on such date.
