The Prospective Supplier hereby accepts its admission as a Party and undertakes with each of the Parties to perform and to be bound by the terms of SMP Agreement as a Party as and from the date hereof.
For purposes of this Agreement, "Prospective Supplier" shall mean any Person who Northern or Anicom has contacted (orally or in writing) during the one year period prior to the earlier of (i) the date of determination or (ii) the effective date of the termination of Employee's employment with Anicom, with the goal of such Person becoming a supplier or vendor of Northern or Anicom.
