Proposed Charter definition

Proposed Charter means the proposed second amended and restated certificate of incorporation of Hennessy Capital, which will become the Company’s certificate of incorporation upon the approval of the Charter Proposals and the Business Combination Proposal and the consummation of the Business Combination. A copy of the proposed charter is attached hereto as Annex C .
Proposed Charter means the proposed Second Amended and Restated Certificate of Incorporation of the Combined Company, a form of which is attached hereto as Annex B, which will become the Combined Company’s certificate of incorporation upon the approval of the Charter Proposal, assuming the consummation of the Business Combination.

More Definitions of Proposed Charter

Proposed Charter means the proposed fourth amended and restated certificate of incorporation to be adopted by Fusion pursuant to the Charter Proposal immediately prior to the Closing (and which at and after the Closing will operate as the fourth amended and restated certificate of incorporation of New MoneyLion), a copy of which is attached as Annex B to this proxy statement/prospectus.
