Subject to Section 2.14, the Operating Partnership shall be responsible for (i) reassessments, (ii) escrow charges, (iii) the cost of any endorsements to the Owner’s Title Policy which the Operating Partnership shall require, (iv) all costs associated with any new Property Reports obtained by the Operating Partnership and (v) all costs relating to the issuance of the Franchise Agreement.
If this Agreement is terminated, Buyer shall cause copies of all information and written materials obtained or generated in connection with the conduct of all Inspections, including any tests and environmental studies conducted of the Real Property ("Reports") and the Due Diligence Material, to be delivered to Seller without cost to Seller.
If any Buyer defaults in the performance of any of its obligations under this Agreement, ONB shall be entitled to receive and retain from Buyers copies of the Surveys and the Property Reports (provided that ONB has either paid the cost for the preparation of such material or has reimbursed Buyers therefor) and neither party shall have any other claim against the other.
ONB shall be responsible for the payment of, or reimbursement of each Buyer for, all reasonable costs and expenses incurred by any Buyer in connection with the transaction contemplated by this Agreement, including all reasonable legal fees and expenses, and all costs for the Surveys and the Property Reports.
