Property-Owning Entity definition

Property-Owning Entity means a limited partnership, limited liability company or other entity controlled by the Partnership that directly or indirectly owns a Strategic Investment.
Property-Owning Entity shall have the meaning set forth in Section 7.05(e)(ii) hereof.

  • Any reference in this Agreement to the Partnership’s interest in a Strategic Investment shall mean its direct or indirect ownership interest in the Property-Owning Entity that owns such Strategic Investment.

  • In the event that the Transaction is consummated as an acquisition of all of the outstanding ownership interests in the Property-Owning Entity, except for such assets (other than the Property) that will be distributed to the Parent or acquired by Optionee for the fair market value thereof prior to the date of the Final Closing (at the Optionee’s sole and absolute discretion), the Property-Owning Entity will own no assets other than the Property.
