Project Technology definition

Project Technology means all inventions, ideas, improvements, trade secrets, copyrights and modifications, used in and directly related to the Project, which were conceived or first reduced to practice in the course of the work performed pursuant to this Agreement by employees, consultants or independent contractors of the parties.

Project Technology means any Technology, and any Intellectual Property Rights therein, created, developed or acquired by the Contractor, the Contractor’s Personnel or Suncor as a result of or in connection with the Goods.

Project Technology means the technology described in Schedule “H” developed by or on behalf of Digimarc under this Agreement after [**], all Improvements to that technology or to the [**] Technology or to the Other [**] Technology, and all Intellectual Property Rights in that technology and those Improvements;

• The RP is entitled to use the Project Technology and Scholarship Technology for student education purposes provided that it does not disclose Confidential Information, prejudice the protection of the Project Technology or Scholarship Technology or prejudice the Commercialisation of the Project Technology or Scholarship Technology.

• A party must provide a Technology Adoption Plan prior to Exploitation of Project Technology or Scholarship Technology to a professional standard that will assist the other party in making informed decisions in accordance with clause 9.12.2; The party preparing the Technology Adoption Plan may determine the format of the plan.

• If an infringement or potential infringement of Project Technology or Scholarship Technology by a Third Party is identified, in the first instance the parties will attempt to agree on a course of action to be undertaken (if any) jointly by the parties, at their shared cost, to address the infringement or potential infringement.

Project Technology means all inventions, discoveries, Know-How, methods, processes, data, information, technology, research tools, compositions, tangible materials (including, without limitation, vectors, proteins, assays and the like) and formulas that were invented, discovered, developed or otherwise generated by either BioMarin or Merck Serono, their respective Affiliates or both BioMarin and Merck Serono jointly pursuant to the License Agreement, and all Patent Rights, trade secrets, and other Intellectual Property rights therein and thereto anywhere in the world. Project Technology means the Existing Project Technology and any and all inventions , products, materials, methods, processes, techniques, know-how, data, information, discoveries and other results of whatever nature arrived at in the course of the performance of the Sponsored Research, whether at FMRC or elsewhere.

Project Technology means any and all Know-How (a) conceived, developed and/or reduced to practice by either Party, an Affiliate of either Party, Sublicensees or any Third Party acting on the behalf of either Party such as a subcontractor or an agent thereof, and (b) arising under or in connection with the activities contemplated under this Agreement or by using any of the other Party’s Confidential Information. Project Technology shall not include Development Data.

Project Technology means any proprietary or confidential information, know-how, knowledge, experience, inventions, processes, technical information and data and materials protected by copyright, design right or rights in the nature of copyrights relating to the Field, which are developed by Corium solely as a direct result of the research and development activities performed under this Agreement.

Project Technology means any Technology that is developed or conceived by employees of, or consultants to, ImmunoGen in the conduct of the Services.”
