No event has occurred that gives the Borrower or, to the Borrower’s knowledge, any Principal Project Party, the right to terminate any Principal Project Contract.
The Borrower shall (i) procure at its own expense and maintain in full force and effect and (ii) cause the EPC Contractor, the Operator and each other Material Project Party, as applicable, to procure at such Person’s own expense and maintain in full force and effect, the insurance set forth on, and subject to the provisions of, Schedule 6.6 of the Common Terms Agreement and any insurance required to be maintained by such Person pursuant to its applicable Project Document.
To the Borrower’s knowledge, each Principal Project Party is, and has caused its respective contractors and subcontractors to be, in compliance in all material respects with all applicable federal and State laws in respect of the Project, including those set forth on Exhibit E (Compliance with Laws), to the extent applicable, and those set forth in the FTA Master Agreement that flow down to third-party contractors.
Upon request by the Fund, the Borrower/Recipient, the Guarantor and any Project Party shall furnish to the Fund sufficient evidence of the authority of the person or persons referred to in Section 15.03, and the authenticated specimen signature of each such person.
No action, suit, proceeding or investigation by or before any Governmental Authority or any arbitrator shall be pending or to Seller’s knowledge threatened against or affecting a Project Party or the Project which would result in a Material Adverse Change, unless such action, suit, proceeding or investigation has been initiated or threatened by Buyer.
