Project Know-How definition

Project Know-How shall have the meaning set out in clause 11.1
Project Know-How. All Know-How relating solely to the Projects.
Project Know-How means Know-How developed, conceived or reduced to practice by a Party in the course of a Collaboration Project.

Examples of Project Know-How in a sentence

  • In the event that employees of Novartis and Rigel jointly invent any Project Know-How (again as determined in accordance with United States rules of inventorship), such Project Know-How shall be owned jointly by Novartis and Rigel, each to own an undivided one-half (1/2) interest in such Project Know-How ("Joint Invention") except as provided herein.

  • Project Know-How invented (as determined in accordance with United States rules of inventorship) solely by employees of one Party during the course of a Collaboration Project ("Sole Inventions") shall be the property of such Party.

  • To the extent Zynerba uses ▇▇▇▇ ▇▇▇▇▇ to compile, collect, review, analyze or otherwise be involved in the transfer of the Project Know-How to BUZZZ PHARMA, any part of ▇▇▇▇ ▇▇▇▇▇’ time dedicated to such activities, before or after the Termination Date, shall not be counted against the 20 hours for which ▇▇▇▇ is to be available for consulting services to BUZZZ PHARMA.

  • The Parties shall protect and maintain the confidentiality of the Project Know-How and shall ensure that any sublicensee pursuant to this Section is bound by confidentiality and non-use obligations consistent with the confidentiality provisions of this Agreement as they apply to the Parties.

  • Notwithstanding Section 1.1 of this Third Amendment, Project Know-How as used in this Section is defined as follows: “Project Know-How” shall mean all inventions, data, information, formulations, and trade secrets arising from, or invented or created pursuant to, the Development Project.


More Definitions of Project Know-How

Project Know-How means all inventions, data, information, formulations, and trade secrets arising from, or invented or created pursuant to, the Development Project.
Project Know-How means Know-How that is Created in the course of a Project, excluding Excluded IP and Recursion Technology.
Project Know-How. All trade secrets and other intellectual property conceived or otherwise developed in the course of and in connection with the Sponsored Research, and all subsequent modifications, enhancements and improvements, excluding the patent applications and patents within the Licensed Patents. Licensed Products: Products covered by a valid issued or pending claim of a Licensed Patent in the country which such Product is sold, or which directly incorporate Project Know-How.
Project Know-How means any Know-How conceived, generated or otherwise developed by or on behalf of a Party or any of its Affiliates, or jointly by or on behalf of Gilead or any of its Affiliates, on the one hand, and Company or any of its Affiliates, on the other hand, in each case, arising from the performance of activities under this Agreement. For clarity, Project Know-How includes all Clinical Data and Sample Analysis Results.
Project Know-How means all ideas, concepts, alternatives, methodologies, processes, recommendations and suggestions developed by or through Project Co or any Project Co Party and revealed to or discovered by the Ministry, whether before or after Commercial Close, which may be connected in any way to:
Project Know-How means “Best Practice” arising from the Project (including the methods by which the Works were conducted), as determined by the GLA (acting reasonably).
Project Know-How. All trade secrets, biological materials and other Intellectual property conceived or otherwise developed in the course of and in connection with the Sponsored Research, and all subsequent modifications, enhancements and improvements hereto, excluding the patent applications and patents within the Licensed Patents. Licensed Product: Products covered by a pending or issued claim of a Licensed Patent in the country which such product is sold, or which incorporate or utilize Project Know-How. License Fee: Within thirty (30) days of the effective date of this agreement, ACORDA shall pay to MAYO a license fee of twenty-five thousand dollars ($25,000). (Fifteen Thousand ($15,000.00) of said License Fee will be deferred as long as ACORDA provides minimum financial support of a three (3) year sponsored research program in the laboratories of Drs.
