The Developer shall indemnify Indemnified Parties from and against any Liabilities under any of the Acts or Rules thereunder mentioned in this Article or any other Applicable Laws, and in case through order of any Government Authority, Authority or the Railway has to pay any compensation in respect of the Project, Authority shall recover such amount of compensation so paid from the Security Deposit or the Escrow Account or otherwise from the Developer under these conditions.
The Facility Manager hereby agrees to indemnify Indemnified Parties from and against any claim under any of the Acts or Rules thereunder mentioned in this Article or any other Applicable Laws, and in case through order of any Government Authority, Authority or the MOR and/ or Railway Administration has to pay any compensation in respect of the SFM Project, Authority shall recover such amount of compensation so paid from the Escrow Account or otherwise from the Facility Manager under the SFM Agreement.
In the event the Developer fails to extend the Performance Guarantee for Project, Authority shall be entitled to receive the amount thereunder and the Developer shall, within the time so granted at the sole discretion of Authority, replenish the Performance Guarantee for Project.
The Internal Costs incurred for a Regional Project shall be paid by the Project Authority Lead for the project.
The Project Authority Lead shall request all Councils involved in the project to pass any resolutions necessary to agree to amendments of the Project Business Case.
