Prohibited Solicitation definition

Prohibited Solicitation means the Executive’s (a) directly or indirectly hiring, contacting, inducing or soliciting (or assisting any Person to hire, contact, induce or solicit) for employment any person who is, or within six (6) months prior to the date of such hiring, contacting, inducing or soliciting was, an employee of the Company or any of its Affiliates, or (b) directly or indirectly inducing or soliciting (or assisting any Person to induce or solicit) any customer, client or vendor of, or other person having a business relationship with, the Company or any of its Affiliates to terminate its relationship or otherwise cease doing business in whole or in part with the Company or any of its Affiliates, or directly or indirectly interfering with (or assist any Person to interfere with) any relationship between the Company or any of its Affiliates and any of their respective customers, clients, vendors or any other business contacts.
Prohibited Solicitation means, on the Grantee’s own behalf or on behalf of any other Person, soliciting, raiding, enticing or inducing, directly or indirectly, any employee of the Company or any other Person who is under contract with the Company (or other member of the Company Group) to (A) terminate such Person’s employment by, or contractual relationship with, such member of the Company Group, (B) refrain from extending or renewing the same contract (upon the same or new terms), (C) refrain from rendering services to or for any member of the Company Group, or (D) become employed by or enter into a service relationship with a competitor of any member of the Company Group.
Prohibited Solicitation shall have the meaning ascribed to such term in Section 4.1.

Examples of Prohibited Solicitation in a sentence

  • In addition, the Grantee agrees that the Grantee will not during the Grantee’s Business Relationship and for a period of two (2) years after the Grantee’s Termination (the “Restricted Period”): (y) engage in any Prohibited Solicitation, or (z) engage in any Competitive Activity.

More Definitions of Prohibited Solicitation

Prohibited Solicitation means the Grantee, directly or indirectly, (x) soliciting or causing to be solicited any Customer of the Company, any Subsidiary or other Affiliate (other than on behalf of the Company, any Subsidiary or other Affiliate) within the Restricted Area, or (y) engaging or employing or soliciting or contacting with a view to the engagement or employment of, any person who is an Employee, Consultant or Director of the Company or any Subsidiary or other Affiliate; provided, however, that, notwithstanding the foregoing, during that portion of the Restricted Period that occurs following the Grantee’s Termination, within that portion of the Restricted Area that includes the State of Oklahoma only, part (x) of this definition shall be limited to only prohibit the Grantee from engaging in the direct solicitation of goods or services, or a combination thereof, from the established customers of the Company.
Prohibited Solicitation means (A) directly or indirectly hiring, contacting, inducing or soliciting (or assisting any Person to hire, contact, induce or solicit) for employment any person who is, or within six (6) months prior to the date of such hiring, contacting, inducing or soliciting was, an employee of the Company or any of its Subsidiaries, or (B) directly or indirectly soliciting (or assisting any Person to solicit) any customer, client, vendor or data supplier of the Company or any of its Subsidiaries, or directly or indirectly interfering with (or assist any Person to interfere with) any material relationship between the Company or any of its Subsidiaries and any of its or their customers, clients or vendors, provided, that in no event shall a general advertisement or solicitation not targeted at employees of the Company or its Subsidiaries or customers, clients or vendors of the Company or its Subsidiaries be considered a Prohibited Solicitation.
Prohibited Solicitation within the meaning of this section means initiating any written or oral communication with Financial Institutions, directly or indirectly, which is, or may be construed by Financial Institution as, a direct or indirect request or inducement to Financial Institutions to continue to receive Program Services from Certegy, its subsidiaries, affiliates, or as a member of FIBA or any other entity which is a customer of Certegy, its subsidiaries, affiliates, or is a member of FIBA, following the expiration or termination of this Agreement, without the prior written consent of Bancard. Prohibited Solicitation shall include, but not be limited to, invitations to educational or other seminars which Certegy, its subsidiaries, affiliates or FIBA sponsor, or in which it or they participate; promotional or other information concerning Certegy, its subsidiaries, affiliates or FIBA, including financial information; and general information concerning services and prices. Prohibited Solicitation shall not include changes in services or prices as permitted under this Agreement and information needed by Financial Institutions in order for Certegy to effect the deconversion of Financial Institutions.
Prohibited Solicitation means the Optionee, directly or indirectly, (x) soliciting or causing to be solicited any Customer of the Company, any Subsidiary or other Affiliate within the Restricted Area during the period of the Optionee’s Business Relationship, or (y) engaging or employing or soliciting or contacting with a view to the engagement or employment of, any person who is, or within the six (6) months prior to such engagement, employment or solicitation was, an Employee, Consultant or Director of the Company or any Subsidiary or other Affiliate.

Prohibited Solicitation means (i) contacting directly or indirectly regarding any business relating to waste disposal and;/or power generation any potential customer (a) to which the Companies or any of their affiliates made a proposal during the Term, (b) which issued to the Companies, or disclosed to the Companies, plans to issue, during the Term, any request for proposal or invitation for bids regarding waste disposal facilities or, (c) about which a prospective project was reported or advertised during the Term in either of the trade publications The Resource Recovery Report or Sludge, and regarding which, with respect to (A) or (B) above, the Companies notifies Xx. Xxxxxx of its intent to propose or bid, or (ii) employing or soliciting for employment any employees of the Companies or any of their affiliates. In the event the restrictions against engaging in a competitive activity or Prohibited Solicitation contained in this subsection D shall be determined by any court of competent jurisdiction to be unenforceable by reason of their extending for too great a period of time or over too great a geographical area or by reason of their being too extensive in any other respect, this subsection D shall be interpreted to extend only over the maximum period of time for which it may be enforceable and over the maximum geographical area as to which it may be enforceable and to the maximum extent in all other respects as to which it may be enforceable, all as determined by such court in such action. Xx. Xxxxxx acknowledges that a breach of the restrictions against engaging in a competitive activity or Prohibited Solicitation contained in this subsection D may cause irreparable damage to the Companies or their affiliates, the exact amount of which will be difficult to ascertain, and that the remedies at law for any such breach may be inadequate. Accordingly, Xx. Xxxxxx and the Companies agree that if he breaches the restrictions against engaging in a competitive activity or Prohibited Solicitation contained in this subsection D, in addition to any other remedies to which it or they may be entitled, then the Companies or their affiliates shall be entitled to equitable relief, including but not limited to injunctive relief, without posting bond or other security.
Prohibited Solicitation means Executive’s (a) directly or indirectly hiring, contacting, inducing or soliciting (or assisting any person to hire, contact, induce or solicit) for employment any person who is, or within six (6) months prior to the date of such hiring, contacting, inducing or soliciting was, an employee of the Company or any of its Affiliates, or (b) directly or indirectly inducing or soliciting (or assisting any person to induce or solicit) any customer, client or vendor of, or other person having a material business relationship with, the Company or any of its Affiliates to terminate its relationship or otherwise cease doing business in whole or in part with the Company or any of its Affiliates, or directly or indirectly interfering with (or assist any person to interfere with) any relationship between the Company or any of its Affiliates and any of their respective customers, clients, vendors or any third party with whom the Company has a material business relationship. Notwithstanding the foregoing, the prohibition on hiring any person described in clause (a) of the immediately preceding sentence shall apply during the Term and shall continue for a period of six (6) months and be limited to a person who is, or within the three (3) months prior to the date of such hiring was, an employee of the Company or any of its Affiliates. Moreover, there shall be no prohibition on Executive’s hiring any person who was terminated or otherwise laid off by the Company.
