In addition, the Company may enter into Joint Ventures with Other Inland Programs, or with Inland, the Advisor, one or more Directors, or any of their respective Affiliates, only if a majority of the Directors (including a majority of the Independent Directors) not otherwise interested in the transaction approve the transaction as being fair and reasonable to the Company and on substantially the same, or more favorable, terms and conditions as those received by other joint venture partners.
In addition, for any acquisition of real property by the Company from Inland, any Other Inland Programs or any of their Affiliates, the Company’s purchase price will be limited to the cost of the property to the Affiliate, including acquisition-related expenses, or if substantial justification exists, the current appraised value of the real property as determined by an Independent Appraiser.
None of the Company, to the Company’s knowledge, its subsidiaries, JVs or Managed Practices has received notice from any of the Programs of any pending or threatened investigations that would result in exclusion, suspension or debarment from any such Programs or the termination of any third-party payment program participation agreement.
All claims and reports submitted by the Company and its Subsidiaries, as applicable, to any Government Programs and commercial third-party payment program are, and in the past three years have been, complete and accurate in all material respects and in compliance in all material respects with all applicable Healthcare Laws.
The Company, its subsidiaries, JVs and Managed Practices, as applicable, meet all material requirements of participation of the Programs and are a party to valid participation agreements for payment by such Programs.
