Programme Limit definition

Programme Limit means the maximum aggregate nominal amount of Notes that may be issued and outstanding at any time under the Programme, as such limit may be increased pursuant to the Dealer Agreement;
Programme Limit has the meaning given to it in the Trust Deed;

  • The Issuer proposes to issue from time to time pursuant to this Agreement unsubordinated debt instruments (the “Senior Notes”) and subordinated debt instruments (the “Subordinated Notes” and, together with the Senior Notes, the “Notes”, which expression shall, if the context so admits, include the Global Notes (in temporary or permanent form) to be initially delivered in respect of Notes) in an aggregate nominal amount outstanding at any one time not exceeding the Programme Limit (the “Programme”).

  • Notes up to a maximum nominal amount (calculated in accordance with Clause 3(5) of the Programme Agreement (as defined below)) from time to time outstanding of €12,000,000,000 (originally €2,500,000,000 and subsequently increased from time to time, most recently to €12,000,000,000 as of 13 May 2025) (subject to further increase as provided in the Programme Agreement) (the Programme Limit) may be issued pursuant to the said Programme.

  • The Notes will be issued in Series in an aggregate nominal amount from time to time outstanding not exceeding the Programme Limit from time to time and for the purpose of determining such aggregate nominal amount Clause 3(5) of the Programme Agreement shall apply.

  • For the avoidance of doubt, none of the Agents shall have any obligation to monitor or investigate the compliance with the Programme Limit.

  • Upon any increase being effected, all references in this Agreement to the Programme Limit shall be deemed to be references to the increased amount.


More Definitions of Programme Limit

Programme Limit means 1,000,000,000 in aggregate of all Certificates of any and all Series outstanding from time to time, provided that the Issuer may increase such limit from time to time (subject to compliance with the relevant Transaction Documents);
