For clarification, a small molecule compound shall not be considered a Program Compound (and would instead be considered a De Novo Compound) if such small molecule (x) is not Covered by any Licensed Patent; (y) [***]; and (z) results from and/or is identified by screening a library of compounds [***], and, conversely, a small molecule compound would be considered a Program Compound if any of clauses (x), (y), or (z) were untrue. For further clarification, a monoclonal antibody shall not be considered a Program Compound (and would instead be considered a De Novo Compound) if such antibody (1) is produced with [***], (2) [***], and (3) has a lineage that is not derived from a Licensed Compound and, conversely, a monoclonal antibody would be considered a Program Compound if any of clauses (1), (2), or (3) were untrue.
