Each Relevant Party has the requisite power and authority and legal right to execute and deliver, engage in the transactions contemplated by, and perform and observe the terms and conditions of, each Program Agreement to which it is a party.
The Seller also agrees to reimburse each Indemnified Party for all reasonable and documented out-of-pocket expenses in connection with the enforcement of this Agreement and any other Program Agreement, any Transaction Request and Purchase Price Increase Request, and the exercise of any right or remedy provided for herein or therein, including, without limitation, the reasonable and documented out-of-pocket fees and disbursements of counsel.
Each of the Seller, the Buyer and the Repo Agent agree that this Agreement and each other Program Agreement prepared in connection with the Transactions set forth herein have been mutually drafted and negotiated by each party, and consequently such documents shall not be construed against any party as the drafter thereof.
Each Program Agreement to which it is a party has been (or, in the case of Program Agreements not yet executed, will be) duly authorized, executed and delivered by each applicable Relevant Party, all requisite or other corporate action having been taken, and each is valid, binding and enforceable against each such Relevant Party in accordance with its terms except as such enforcement may be affected by bankruptcy, by other insolvency laws, or by general principles of equity.
No Default or Event of Default has occurred and is continuing under this Agreement or any other Program Agreement.
