Production Shortfall definition

Production Shortfall means the amount, expressed in kWh, by which the actual amount of Net Energy generated by the PV System in any Contract Year is less than the Guaranteed Annual Energy Output for that Contract Year.
Production Shortfall has the meaning set forth in Section 6.4.
Production Shortfall means the difference between the GEP minus the actual energy production measured by the utility grade meter located at the POCC.

  • If there is a Production Shortfall in any two rolling consecutive Contract Years, then Seller shall owe Buyer liquidated damages in an amount equal to (i) the Production Shortfall that occurred in the later of the two relevant Contract Years, multiplied by (ii) the Damages Rate (the “Production Guarantee Damages”).

Production Shortfall shall have the meaning set forth in Section 5.3(a)(i).
