Privileged Materials definition

Privileged Materials has the meaning set forth in Section 9.14.

Privileged Materials is defined in Section 13.14.

Privileged Materials means any documents, materials or other information that (i) are protected by the attorney-client privilege, the attorney work product doctrine, and/or similar privileges, including any opinions of counsel, claim charts and communications to or from counsel, (ii) include confidential or proprietary information of any third Person, or (iii) include personally identifiable information of individuals.

Examples of Privileged Materials in a sentence

• Reviewing Representatives may make copies of Privileged Materials, but such copies become Privileged Materials.

• Reviewing Representatives may make notes of Privileged Materials, which shall be treated as Notes of Privileged Materials if they disclose the contents of Privileged Materials.

• All documents, books and records of the Debtors that are Excluded Assets shall be transferred and assigned to the Plan Administration Trust; provided that, except for the Excluded Privileged Materials, NewCo shall receive copies of all documents, books and records of the Debtors that are Excluded Assets.

• No member of the Post-Closing Group shall have a right of access to such Sponsor Privileged Materials.

• Any Reviewing Representative may disclose Privileged Materials to any other Reviewing Representative as long as the disclosing Reviewing Representative and the receiving Reviewing Representative both have executed a Non-Disclosure Certificate.

Privileged Materials has the meaning set forth in Section 1.01(j).

Privileged Materials means any materials that are protected by or the subject ofa Privilege.

Privileged Materials means all Pre-Closing Privileges, and all books and records and other documents of the Transferred Subsidiaries solely to the extent containing advice or communication that is subject to any Pre-Closing Privilege.
