The Sponsors and the Representative have executed and delivered purchase agreements, the forms of which are annexed as exhibits to the Registration Statement (the “Purchase Agreements”), pursuant to which the Sponsors and the Representative have agreed, among other things, that they and/or their designees will purchase on the Closing Date the Private Units in the Private Placement.
The Company, the holders of the Founder Shares and the holders of the EBC Founder Shares and the holders of the Private Units have entered into a registration rights agreement (“Registration Rights Agreement”) substantially in the form annexed as an exhibit to the Registration Statement, whereby such parties will be entitled to certain registration rights with respect to their securities, as set forth in such Registration Rights Agreement and described more fully in the Registration Statement.
The terms of the Private Units are as described in the Prospectus (as defined in Section 2.1.1 below).
On the Option Closing Date, if any, the Company shall cause to be deposited an amount of additional proceeds from the additional Private Units sold on the Option Closing Date into the Trust Account such that the amount of funds in the Trust Account shall be $10.00 per Public Share sold in the Offering.
Upon consummation of the Offering, it is intended that approximately $600,000 of the proceeds from the sale of the Firm Units and Private Units will be released to the Company and held outside of the Trust Account to fund the working capital requirements of the Company.
